1. Before work begins
All stated prices are in US dollars. We agree the scope, fee calculation, dates, approval process and payment terms in writing before any payment or work. Any applicable tax on our service is identified before commitment. The creator retains account ownership, content ownership, recovery access and payout control. We invoice separately rather than take custody of platform payouts.
2. Adjusted earnings
Adjusted earnings means earnings from the agreed account after platform fees, refunds and chargebacks, excluding fan-paid sales taxes, but before our fee, your income taxes and ordinary business expenses. A platform fee already deducted on a statement is not deducted again.
The agreement identifies the account, statement source, accounting basis, currency conversion where relevant, time zone and service-period boundaries. The same definitions apply to the baseline and pilot. Later refunds or chargebacks are reflected in the reconciliation of the relevant period.
3. The 14-Day Pilot
The fee is $600 upfront plus 20% of positive growth above an agreed 14-day baseline. The growth component is calculated after the pilot and statement reconciliation.
Pilot fee = $600 + 20% × max(0, pilot adjusted earnings − agreed baseline).
The starting baseline method is the preceding 28 days' adjusted earnings divided by two. Unusual promotions, interruptions, seasonality and accounts without adequate history are addressed in writing before payment. We do not silently assume a zero baseline. With no positive growth, the growth fee is zero; the base fee remains payable, subject to applicable cancellation and other rights.
The scope includes four non-explicit promotional edits, one channel's content plan, initial trend and funnel analysis, one agreed experiment, a baseline report and a final review. One consolidated revision round per edit is included. You supply usable assets and timely approvals; deadlines and any scope changes are agreed in writing.
4. Core Management
Core costs 20% of total adjusted earnings during the service period, with no fixed monthly fee. It is billed monthly in arrears. This commission applies to total adjusted earnings in the covered period, not just growth.
The monthly scope is twelve non-explicit promotional edits, planning for one promotional channel, trend and funnel analysis, weekly reporting and a short review, and two agreed experiments. Additional work requires an agreed change of scope.
5. Full Management
Full costs 40% of total adjusted earnings during the service period, with no fixed monthly fee, billed monthly in arrears. The 40% replaces 20%; it is not added to it.
Full includes Core plus agreed expanded marketing, creator-led production coordination, authorized human non-explicit customer support and permitted advertising management. Channels, additional deliverables, support hours, permissions and staffing are agreed before onboarding. It does not include unlimited work, explicit sexual content generation, automated sexual conversations or 24/7 coverage.
6. Pilot transition and partial periods
The pilot ends after its agreed 14-day period. There is no automatic renewal or move to management. Continuing requires explicit agreement on the new scope, rate and start time. You may also apply directly for Core or Full Management.
The same earnings period is not charged under both the pilot and ongoing management. A mid-month start, change or ending uses the agreed earnings for the actual covered period, not the entire calendar month by default. Rates do not stack.
7. Extra costs
Advertising spend, outside specialists, additional production and optional tools are separate unless expressly included. Costs require your approval before commitment. Advertising is managed only where the channel, creative and destination allow it.
8. Invoices, cancellation and adjustments
The signed agreement confirms invoice due dates, payment methods, statement access, cancellation notice, rescheduling and refund treatment before you pay. We do not describe the pilot fee as universally nonrefundable. Cancellation or refund requests should be sent to contact@semvairo.com so the work delivered, the agreement and applicable rights can be considered.
Later refunds or chargebacks relating to a charged period result in an appropriate corrected invoice or credit. No commission is charged on earnings attributed to periods after the service ends, apart from reconciling previously covered periods.
9. Client agreement and mandatory rights
This page explains the commercial model; it is not a signed management contract. The client agreement identifies the parties and confirms the specific scope, fees, dates, approvals, account access, data responsibilities and exit arrangements. No website statement excludes rights that cannot lawfully be excluded.
